Introduction - These Terms & Conditions (Agreement) shall regulate the relationship between:

A. Fidelity Markets & Investments (also referred to as Fidelity Markets & Investments, Company, we, us our, as appropriate) with registered address First floor, gmt Ax-U. Clem jet Ltd Building, James street, mathew, St.James Sydney Australia.

B. Any person being either a natural person or a legal entity (also referred to as Client, you, your, yourself, as appropriate), who has successfully opened an account on fminv.com and agreed to the current terms and conditions during the registration procedure.

C. Fidelity Markets & Investments is not required to hold any financial services in Clem jet Ltd Building, James street, mathew, St.James Sydney Australia.

D. The objects of the Company are all subject matters not forbidden by International Business Companies (Amendment and Consolidation) Act, Chapter 149 of the Revised Laws of Saint Vincent and the Grenadines, 2009, in particular but not exclusively all commercial, financial, lending, borrowing, trading, service activities and the participation in other enterprises as well as to provide brokerage, training and managed account services in currencies, commodities, indexes. CFDs and leveraged financial instruments.

E. The Client warrants his understanding that laws regarding Fidelity Markets & Investments vary throughout the world and it is the client's obligation alone to ensure compliance with any law, regulation or directive relevant to Clients country of domicile.

F. Ability to access the services does not necessarily mean that the Company Services and client activities through it are legal under the laws, regulations or directives relevant to Clients country of domicile. Subject to the provisions of this Agreement, the Company agrees to provide the Client with the Services.

G. By accepting this Agreement, the Client agrees and irrevocably accepts the terms and conditions contained in this Agreement, its annexes and/or appendices as well as other documentation/information published on the Website, including without limitation to the Risk disclosure notice, Privacy Policy, Cookie policy, Anti-Money Laundering Policy, Referral rules and conditions, and other legal documents and the Client accepts this Agreement by registering an Account on the Website. By accepting the Agreement, and subject to the Company's final approval, the Client enters into a legal and binding agreement with the Company.

IF YOU HAVE OBJECTIONS TO ANY OF THESE TERMS AND CONDITIONS. OR ANY PART THEREOF, AND/OR IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS, OR ANY PART THEREOF. DO NOT ACCESS AND/OR USE SERVICES IN ANY WAY AND INFORM US IN WRITING
Company reserves the right to alter, amend or modify this Agreement from time to time, in Company's sole discretion. The Company warns that in some or in all cases it will not notify the Client personally via email about the changes made in this Agreement, therefore it is the responsibility of the Client to check the Website from time to time to make sure he/she complies with the current version of the Agreement.

A. Agreement - the present Agreement including any Annexes and/or Appendices attached herein as this may, from time to time, be amended or replaced.

B. Account - Clients personal account which can be accessed by using Client's credentials, which provides access to the Trading platform and contains all of the Client's Transactions and Orders. In order to start executing Transactions, Client has to deposit funds into his Account.

C. Client - any person being either a natural person or a legal, who has successfully opened an account on fminv.com and agreed to the current terms and conditions during registration procedure.

D. Company -Fidelity Markets & Investments LLC (also referred to as Fidelity Markets & Investments Company, we, us, our, as appropriate) with registered address First floor, gmt Ax-U. Clem jet Ltd Building, James street, mathew, St.James Sydney Australia.

E. KYC- means the documents of the Client that include the passport or ID, utility bill, and any additional document that may be required by the applicable law.

F. Leveraged products - products available for trading on the Trading platform and may be named as "CFD's", "Forex", "Indices" and "Cryptocurrencies" etc. for information and marketing purposes. Leveraged products are traded on margin and involve significant risk of capital loss.

G. Margin - the necessary guarantee funds required to open and Order or maintain open position in Leveraged products.

H. Transaction - shall mean any transaction in Leveraged products arranged for execution on behalf of the Client under this Agreement. Information and marketing purposes. Leveraged products are traded on margin and involve significant risk of capital loss.

• • Trading platform - the Company's online trading system which includes the aggregate of its computer devices, software, databases, telecommunication hardware, a trading platform, mobile applications, all programs and technical facilities providing real-time prices, making it possible for the Client to obtain information of markets in real time, make technical analysis on the markets, enter into Transactions, place and delete Orders, receive notices from the Company and keep record of Transactions and calculating all mutual obligations between the Client and the Company. Company may provide multiple Trading platforms with different functionality.
• • Services - services provided by the Company to the Client through the Account and Trading Platform of the Company, including without limitation to execution of Orders and/or Transactions of the Client, analytics, news and marketing information services, remittance services, etc.
• • Website - shall mean the Company's website at https: fminv.com or such other website as the Company may maintain.

A. That you are of an age of majority to enter into this Agreement (at least 18 years of age), meets all other eligibility criteria and residency requirements, and is fully able To abide by Fidelity Markets & InvestmentsS | Terms and conditions and legally competent to use the Website, enter into agreement with the Company and in doing so will not violate any other agreement to which you are a party;

B. that you are the legal owner of the funds you add to your Clients Account with the Company and that the same funds derive from a legitimate and legal source;

C. that using Services does not constitute a breach of your home jurisdictions' laws and legally competent to use the Website, enter into agreement with the Company and in doing so will not violate any other agreement to which you are a party; that you are the legal owner of the funds you add to your Clients Account with the Company and that the same funds derive from a legitimate and legal source;

These duties include that the customer is obligated to pay for all your maintenance fee, electricity, switching costs and services charges for engineering your account stability, incases clients fail to perform his/her duties which leads to loss of all the funds in trading account. Client will be subjected to pay the commission for the trade, as we will begin to press charges against such client, these are the only fee and obligations of the client throughout the trading section.

G. that you will not be involved with, or initiate any form of market manipulation, including spoofing orders or otherwise under the threat of blocking the account in any case of identifying such violations;

H. that if we require any KYC-procedure you will provide correct, genuine and up-to-date information or documents;

I. that any withdrawal account number or cryptocurrency address you provide is your own and that you are in full control over this account or address;

J. When accessing and using the Service, you must:

K. not attempt to undermine the security or integrity of the Company's computing systems or networks or, where the Services are hosted by a third party, that third party's computing systems and networks;

L. not use, or misuse, the Services in any way which may impair or alter the functionality of the Services or Website, or other systems used to deliver the Services or impair or alter the ability of any other user to use the Services or Website;

M. not attempt to gain unauthorized access to the computer system and servers on which the Website is hosted or to any materials other than those to which you have been given permission to access;

N. You will ensure that all usernames and passwords required to access the Website are kept secure and confidential, and that it is your responsibility alone ensure this. You will immediately notify the Company of any unauthorized use of your passwords or any other breach of security and the Company will reset your password and take other steps to ensure the security of your account and the platform.

O. The Company reserves the right at any time to verify your identity for the purposes of complying with the any KYC/AML requirements. The Company has the right to impose trading limits and withdrawal limits before you are required to conduct Customer Due Diligence (CDD). You agree to cooperate fully with us throughout this process and that you will provide all documentation/information that we may require in order to verify your identity and to assess the purpose of the business relationship.

A. Fidelity Markets & Investments offers its Clients an access to track daily trading profits, in other to allow client spot any form of funds theft from account manager. Managing the account and advising the Client. The Company is entitled to to monitor or advise the Client on the status of any Transaction, to make margin calls, or to close out any of the Client's open positions, execute Transactions requested by the Client as provided in this Agreement as long as it is beneficial to both parties.

B. The Company shall facilitate the execution of trade activities/orders and/or Transactions of the Client but the Client hereby acknowledges and accepts that the Company shall not at any time provide any trust services and/or trading consultation. The company can only provide document of guarantee.

C. The Company shall cover for any loss that occurs on the trading account once the client has perform all its duties and obligations

D. The company shall hand over profits to clients at the end of all trading sections.

E. The Company shall be financially liable for any operations conducted by through the client Account and/or on the Trading Platform.

F. Each Client shall be the only authorized user of the Company's Services and of the corresponding Account. The Client is granted an exclusive and non-assignable right to the use of and to access the Account and it is his/her responsibility to ensure that no other third party is given access to the account. including, to any next of kin and/or to members of his/her immediate family, the company shall not give out your login to any writing or document sent to the company to gain access to trading Account.

G. The Client shall be liable for all Orders given through his Trading Platform and any Orders received in this manner by the Company shall be considered to have been given by the Client. So long as any Order are submitted through the Client's Account or Trading platform, the Company shall reasonably assume that such Orders are submitted by Client and the Company shall not be under any obligation to investigate further into the matter. The Company shall not be liable to and/or does not maintain any legal relations with, any third party other than the Client.

H. If the Client acts on behalf of any third party and/or on behalf of any third party's name, the Company shall not accept this person as a Client and shall not be liable before this person regardless if such person was identified or not. The company shall clear client taxes and shall not ask for any fee upon withdrawal, the company guarantees that no form of internet theft shall lead to lost of clients funds, this is guaranteed through our rigid end to end encryption policy.

I. Our service and products are derivative products, and therefore you will not be entitled to own any underlying instrument. You also understand that no physical delivery of any underlying asset shall occur. You agree that Fidelity Markets & Investments is the only execution venue in relation to your Transaction, Orders and other trading activity under this Agreement.

A. Leveraged Products are very speculative and risky. Trading Leveraged products are highly speculative but our clients have no risk to worry about, as long as of their duties are performed. We cover for all daily losses through our custodian bank.

B. Client risk losing all profit by not keeping up to his investment duties, and will further pay company’s commission if he/she fail to perform his duty.

C. Our clients has no worries with the risk that comes with high leverage associated with trading with Leveraged products, as we have a very strong installed stop loss software that notifies our well experienced traders to avoid unforeseen losses.

D. Prices on the Trading Platform may be different from prices elsewhere. The Company will provide indicative prices for every trading, valuation of Clients positions and determination of Margin requirements. Although the Company expects that these prices will be reasonably related to prices of underlying assets available in the open market, prices reported by the Company may vary from prices available to banks and other participants in what is known as the open market. The Company will exercise considerable discretion in setting and collecting Margin.

E. Market recommendations are for information purposes only. The Company is not a financial advisor. The market recommendations provided by the Company do not constitute an offer to buy or sell, or the solicitation of an offer to buy or sell, any Leveraged products provided by the Company. Each decision by the Client to enter.

F. Company and client agrees that both parties has fiduciary duty to Each other. and are liable to both parties in cases of failing to meet up to responsibilities.

G. There is a central market or clearinghouse quarantee. Each Transaction, Order or position is a contract directly between the Company and the Client. There is a clearing house and a guarantee by the Company to guarantee stable account till trading section is over once account has been maintained and client performs its trading obligations.

A. There are guarantees of profit and freedom from loss in Trading with Us, clients has received guarantee from company.

B. Client is aware of the risks inherent if he or she fails to perform its duty.

C. Customer may not be able to close or open positions. Due to market conditions

A. The provision of Services and the performing of both trading and non-trading operations under the Agreement is subject to the payment of trade commission, margin financing, deposit/withdrawal related charges and other fees.

B. Company Is not expected to ask for any fees from the client as long as the client has paid for all of the fees mentioned early.

C. Client has the right to sue the company if he/she is asked for any fee outside of the one mentioned above during the trading section, clients should report account manager asking for extra charges to the company.

D. Commission should be sent to company upon withdrawal. The Company charges commission on carrying out operations to pay in/withdraw funds. The amount of commission for paying in/ withdrawal of funds depends on factors such as the Transaction amount, the type of Transaction, the Transaction currency, the system of payment.

A. The Company may collect client information directly from the Client or from other persons including but not limited to credit reference agencies, fraud prevention agencies, third authentication service providers, other financial institutions and the providers of registers.

B. Client information which the Company holds is to be treated by the Company as confidential and will not be used for any purpose other than in connection with the provision, administration and improvement of the Services, for research and statistical purposes and for marketing purposes. Information already in the public domain, or already possessed by the Company without a duty of confidentiality will not be regarded as confidential. The Client agrees that the Company has the right to disclose Client information (including recordings and documents of a confidential nature, card details, personal details) in the following circumstances as and to the extent required:

• Where required by law or a competent Court;
• Where requested by a regulatory authority having control or jurisdiction over the Company or the Client or their associates or in whose territory the Company has Clients; To relevant authorities to investigate or prevent fraud, money laundering or other illegal activity;
• To execution venues or any third party as necessary to carry out Client Instructions or Orders and for purposes ancillary to the provision of the Services;
• To credit reference and fraud prevention agencies, third authentication service providers and other financial institutions for credit checking, fraud prevention, anti-money laundering purposes, identification or due diligence checks of the Client;
• To the Company's professional advisors, provided that in each case the relevant professional shall be informed about the confidential nature of such information and commit to the confidentiality herein obligations as well;
• Only to the extent required, to other service providers who create, maintain or process databases (whether electronic or not), offer record keeping services, email transmission services, messaging services or similar services which aim to assist the Company collect, storage, process and use Client information or get in touch with the Client or improve the provision of the Services under this Agreement;
• Only to the extent required, to other service providers for statistical purposes in order to improve the Company's marketing, in such a case the data will be provided in an aggregate form.

A. We will communicate with you via your registered e-mail, telephone or messages/notifications within your Account. All our contact details are available on our Website. Any communication from you to us shall be deemed effective on the date and time of reception by us. It is your responsibility to ensure you have read all and any communication we may send you from time to time via any communication method.

B. It is your responsibility to inform us about any changes in your contact details. Both prior and after you become Fidelity Markets & Investmentss Client, you consent and agree that our official language is English language. The provision of any information, including marketing material, any translated version of the Agreement and/or any other communication, in a language other than English, is provided solely for convenience purposes and the legally binding version shall always be English language version of such documentation or communication. Any communication sent to you by Fidelity Markets & Investmentss is intended to be received by you only. You are responsible for keeping any information we send to you private and.

A. You acknowledge that You are authorized to access and use the Website.

B. The company agree that it’s liable for any damages or harms arising out of your use of the Website and Service;

C. The information provided on the Website is for general information purposes only and is given in good faith, you must only act upon such information knowing that the Company will not give out to any inappropriate party, Among other things, the operation and availability of the systems used for accessing the Website, including public telephone services, computer networks and the Internet, can be unpredictable and may from time to time interfere with or prevent access to the Website. The Company is not in any way responsible for any such interference that prevents your access or use of the Website and the Service, we guarantee and provide 100% security on customers funds and account.

A. All the terms and conditions of this Agreement as well as any matters pertaining to this agreement, including without limitation to matters of interpretation or disputes, shall be governed by the laws of Sydney Australia

B. The Company and the Clients irrevocably submit to the jurisdiction of the courts St.James Sydney Australia. The Company shall be entitled to use the interpreter's services during the court trial in case of dealing with disputable situations according to the legislation of the St.James Sydney Australia.

A. If any term, provision, covenant or restriction of this Agreement is held by a Court of competent jurisdiction to be invalid, illegal, void or unenforceable, the remainder of the Agreement, provisions, covenants and restrictions set forth herein shall remain in full force and effect and shall in no way be affected, impaired or invalidated, and the parties hereto shall use their commercially reasonable efforts to find and employ an alternative means to achieve the same or substantially the same result as that contemplated by such term, provision, covenant or restriction. It is hereby stipulated and declared to be the intention of the parties that they would have executed the remaining terms, provisions, covenants and restrictions of the Agreement without including any of such that may be hereafter declared invalid, illegal, void or unenforceable.

A. The Company has exclusive intellectual property rights on all content, trademarks, services marks, trade names, logos and icons that are the property of the Company, its affiliates and agents, and are protected by copyright laws and international treaties and provisions. All Clients agree not to delete any copyright notices or other indications of protected intellectual property rights from materials that the client receives from 3rd persons or downloads and prints from the Website of the Company.

B. Clients will not obtain any intellectual property rights in, or any right or license to use such materials or the site of the Company, other than as set out in this Agreement. Images displayed on the Website of the Company are either the property of the Company or used with written permission. The Client agrees not to upload, post, reproduce or distribute any information software or other material protected by copyright or any other intellectual property rights (as well as rights of publicity and privacy) without first obtaining the permission of the owner of such rights and the prior written consent of the Company. By submitting content about the Company and/or it's Services to any public area in the internet, including but not limited to blogs, message boards, and forums, you grant the Company a royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display the content (in whole or in part) worldwide and to incorporate it in other works in any form, media, or technology now known or later developed, for the full term of any rights that may exist in such content

The company is not a tax agent and thus shall not provide clients' financial information to any third parties. This information will not be disclosed unless officially requested by government authorities. Client have nothing to worry over tax trading with us as as company deduct taxes on every profit made before getting into clients trading account.
